Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and HelperSuits ("we", "us", "our", "the Platform"), accessible at www.helpersuits.com. By accessing, registering on, or using HelperSuits in any manner, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease use of the Platform.

These Terms are governed by and comply with the Information Technology Act, 2000, the Consumer Protection Act, 2019, and other applicable laws of India, with reasonable consideration of international standards including the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA) for international users.

0. Beta Platform Notice

HelperSuits is currently in BETA. This means the Platform is under active development and is provided for evaluation and early-access purposes. Features may change, be removed, or become unavailable at any time without prior notice. By using HelperSuits during the Beta period, you acknowledge and accept that:

• The Platform may contain bugs, errors, or instabilities
• AI outputs may be inconsistent or unreliable
• Data, settings, or history may be lost during updates or infrastructure changes
• Service availability is not guaranteed
• HelperSuits assumes no liability whatsoever for any disruption, data loss, or harm arising during the Beta period

1. Eligibility and Account Registration

• You must be at least 13 years of age (or 16 in the EU) to use HelperSuits. By using the Platform, you represent and warrant that you meet this requirement.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
• We reserve the right to suspend or terminate accounts found to contain false, misleading, or fraudulent information without notice.
• One person may not maintain more than one free account. Creating multiple accounts to circumvent usage limits is strictly prohibited and will result in permanent suspension.

2. Permitted Use of the Platform

HelperSuits grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal and internal professional purposes, subject to these Terms.

You agree that you will NOT:

• Use the Platform for any unlawful, fraudulent, harmful, abusive, harassing, defamatory, or discriminatory purpose
• Generate content that is illegal, pornographic, hateful, threatening, violent, or that infringes any third-party rights
• Use the Platform to create misleading job descriptions, fake resumes, fraudulent offer letters, or any content intended to deceive others
• Reverse engineer, decompile, disassemble, scrape, or attempt to extract the source code or underlying systems of the Platform
• Use automated bots, scripts, crawlers, or tools to access or exploit the Platform or its APIs
• Attempt to bypass, circumvent, or exploit rate limits, usage caps, authentication, or any security mechanism
• Resell, sublicense, redistribute, or commercially exploit the Platform or AI-generated outputs without our prior written consent
• Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure
• Upload, transmit, or process any malware, viruses, or malicious code through the Platform
• Use the Platform in any manner that could expose HelperSuits to legal liability or reputational harm

3. AI-Generated Content — Disclaimer and User Responsibility

This is a critical section. Please read it carefully.

HelperSuits provides AI-powered tools by routing your inputs ("Prompts") to third-party Large Language Model (LLM) providers (currently Groq, Inc.). The outputs are generated entirely by these third-party AI systems. Accordingly:

• HelperSuits does not generate, verify, validate, endorse, or take any responsibility whatsoever for any AI-generated content. All outputs are produced by third-party AI models and may be inaccurate, incomplete, biased, outdated, or inappropriate.
• You are solely and entirely responsible for reviewing, verifying, editing, and taking responsibility for any AI-generated content before using it in any personal, professional, or public context.
• HelperSuits expressly disclaims all liability for any loss, damage, claim, or consequence — direct or indirect — arising from your reliance on or use of AI-generated content, including but not limited to: hiring decisions, job application outcomes, salary negotiations, legal matters, or business decisions.
• You must not submit sensitive personal data, confidential business information, trade secrets, financial data, health data, passwords, government-issued ID numbers, or any information you are not authorised to share with third-party AI systems through our Platform.
• When you upload a resume file (PDF or DOCX) through our ATS Checker or Resume Screener tools, that file is read locally in your browser, converted to plain text, and the extracted text is transmitted to third-party AI providers. The original file is never uploaded to or stored on HelperSuits servers. However, the extracted text content is subject to the same third-party LLM disclaimers above.
• By submitting a Prompt, you grant HelperSuits and its third-party LLM providers a non-exclusive licence to process that Prompt for the purpose of generating a response. HelperSuits does not claim ownership of your Prompts.
• AI-generated outputs do not constitute professional legal, financial, medical, HR, or career advice. Always consult a qualified professional before making decisions based on AI-generated content.

4. Data We Collect and Store

By using HelperSuits, you acknowledge and consent to the following data collection practices:

• Account data: Your name and email address collected via Clerk (our authentication provider) at sign-up.
• Generation logs: Each AI generation request is logged with: your Clerk user ID, tool name, timestamp, IP address, country code, and success/failure status. This data is stored in our Supabase database for abuse prevention and platform analytics.
• Usage counter: A count of your total AI generations is stored in Cloudflare KV, keyed to your user ID, to enforce the free plan lifetime limit.
• AI output history (Pro users only): The AI-generated outputs from your tool usage are saved to our Supabase database for 30 days to power the Pro Dashboard feature.
• ATS Pipeline data: Job descriptions and candidate data you enter into the ATS Pipeline are stored in our Supabase database under your user account. During our public beta the ATS Pipeline is available free of charge to every signed-in user.
• Connect / lead form submissions: If you submit the "Let's Connect" contact form, your name, email, message, IP address, and country are stored in our Supabase leads table.
• Feedback form submissions: If you submit the in-app feedback form, your responses (usage intent, willingness to pay, improvement suggestions, preferred tools, preferred suite) along with the email address you used to sign in via Clerk, your IP address and country, are stored in our Supabase user_feedback table. The email is pulled automatically from your signed-in Clerk account.
• IP address and country: Collected on every API request for rate limiting, fraud prevention, and geographic analytics. We do not use this for advertising.

5. Third-Party Services and Integrations

HelperSuits integrates with and relies upon the following third-party services to deliver its functionality:

• Groq, Inc. — LLM inference provider for all AI-generated outputs
• Clerk, Inc. — User authentication and account management
• Supabase, Inc. — Database storage (generation logs, output history, pipeline, leads, feedback)
• Cloudflare, Inc. — API gateway, security, rate limiting, and KV storage
• LemonSqueezy (Lemon Squeezy, LLC) — Subscription billing and payment processing for international users
• Razorpay Software Pvt. Ltd. — Payment processing for users in India

Your use of these third-party services is subject to their respective terms of service and privacy policies. HelperSuits is not responsible for the actions, failures, data practices, outages, or terms of any third-party service. We do not control and cannot guarantee the continuous availability of any third-party integration.

6. Plans and Payments

• Free Plan: Provides 5 AI generations per calendar month (shared across ATS Checker, Cover Letter, Resume Builder, and Interview Prep), plus 3 lifetime Resume Optimizer pipeline runs and 1 lifetime multi-page Resume Studio PDF download. No credit card required.
• Starter Plan (₹299 / $5 — ONE-TIME PAYMENT): Single, non-recurring charge that grants 50 lifetime AI generations (shared across all Job Seeker tools) and 5 lifetime Resume Optimizer pipeline runs. Lifetime entitlements never reset and never expire; once consumed, additional capacity requires contacting support for a top-up.
• Pro Plan (₹599 / $7 — ONE-TIME PAYMENT): Single, non-recurring charge that grants 150 lifetime AI generations and 15 lifetime Resume Optimizer pipeline runs (three times the Starter cap). Same lifetime entitlement model as Starter.
• HR Pro Plan: Contact-sales tier, provisioned manually via contact@helpersuits.com. Pricing and terms are individually negotiated.
• Billing model: ALL paid plans on the Platform are one-time payments. There are no monthly subscriptions, no auto-renewals, no recurring charges, and no card stored on file after the transaction completes. You will be charged exactly once for the amount displayed at checkout.
• International payments are processed by LemonSqueezy. India payments are processed by Razorpay. HelperSuits does not store or have access to your payment card or bank details.
• All payments are final and non-refundable except as expressly described in section 7 below.
• We reserve the right to change pricing at any time. Price changes only affect new purchases made after the change date; users who have already paid retain their existing lifetime entitlement.
• We reserve the right to modify, suspend, or discontinue any plan tier at any time. If we discontinue a tier, existing paid users retain their lifetime entitlement on the Platform.

7. Refund Policy

• All sales are final. Because every paid plan is a one-time payment for a lifetime entitlement that begins delivering value immediately upon purchase, we do not offer refunds for change of mind, dissatisfaction with AI output quality, AI inaccuracies, or unused capacity.
• Platform-issue exception (discretionary): If you experience a material Platform issue that prevents you from using the entitlement you paid for — for example, you were successfully charged but your plan never activated, or a sustained Platform outage caused by us prevented you from using the Platform — email contact@helpersuits.com with your Razorpay or LemonSqueezy payment ID. We review every such request individually and may, at our sole discretion, issue a full or partial refund where the issue was caused by HelperSuits and could not be resolved by other means.
• No refunds will be considered for: dissatisfaction with AI output quality, AI inaccuracies, third-party service outages outside our control (Groq, Clerk, Supabase, Cloudflare, Razorpay, LemonSqueezy), unused lifetime entitlement, account suspension for Terms violations, or claims submitted more than 30 days after the original payment.
• Approved discretionary refunds are processed back to the original payment method through Razorpay or LemonSqueezy and may take 5–10 business days to appear in your account.

8. Usage Limits and Fair Use

• Free plan users are limited to 5 AI generations per calendar month (shared bucket), 3 lifetime Resume Optimizer runs, and 1 lifetime multi-page Resume Studio PDF. Limits are enforced per authenticated user ID via Cloudflare KV.
• Starter plan users are limited to 50 lifetime AI generations and 5 lifetime Resume Optimizer pipeline runs. Once consumed, the entitlement is exhausted and additional capacity requires emailing support.
• Pro plan users are limited to 150 lifetime AI generations and 15 lifetime Resume Optimizer pipeline runs.
• HR Pro plan users have unlimited generations subject to reasonable fair-use thresholds. We reserve the right to throttle or suspend accounts that display automated, abusive, or commercially exploitative usage patterns.
• Attempting to bypass usage limits through VPNs, proxy servers, multiple accounts, or automated tools is a material breach of these Terms and may result in permanent account suspension without refund.

9. Intellectual Property

• The HelperSuits name, logo, brand identity, website design, codebase, and original content are the exclusive intellectual property of HelperSuits and are protected under applicable copyright, trademark, and intellectual property laws.
• You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of the Platform or its proprietary content without our prior written consent.
• AI-generated outputs produced through your use of the Platform are owned by you, subject to any rights or restrictions imposed by the underlying third-party LLM provider. HelperSuits makes no claim of ownership over your AI-generated outputs.
• You grant HelperSuits a limited, non-exclusive, royalty-free licence to use anonymised, aggregated usage data and feedback responses to improve the Platform and its services.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, INCLUDING DURING THE BETA PERIOD, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED ACCESS.

• We do not warrant that the Platform will be error-free, virus-free, secure, or available at any particular time or location.
• We do not warrant the accuracy, completeness, or usefulness of any AI-generated content.
• We do not warrant that third-party services (Groq, Clerk, Supabase, Cloudflare, LemonSqueezy, Razorpay) will be continuously available or will perform as expected.
• We expressly disclaim any warranty that AI-generated outputs are suitable for professional, legal, medical, financial, or employment-related decisions.
• We expressly disclaim all warranties in connection with resume file uploads — including that extracted text is complete, accurate, or faithfully represents the original document.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• HelperSuits, its founders, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including but not limited to loss of profits, data, business, goodwill, reputation, employment opportunity, or career outcome, arising out of or in connection with your use of or inability to use the Platform.
• HelperSuits shall not be liable for any damages arising from: (a) reliance on AI-generated content; (b) third-party service failures or outages; (c) data loss or breaches by third-party providers; (d) unauthorised access to your account; (e) resume file processing errors; (f) your violation of these Terms; (g) any Beta-period instability or data loss.
• Our total cumulative liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of: (a) the amount you paid us in the 3 months immediately preceding the claim, or (b) INR 500 (Indian Rupees Five Hundred).
• Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless HelperSuits and its founders, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of or access to the Platform
• Your violation of these Terms or any applicable law
• Content you submit, generate, or distribute through the Platform
• Your infringement of any third-party rights, including intellectual property or privacy rights
• Any dispute between you and a third party arising from your use of the Platform
• Your submission of third-party confidential or personally identifiable information through Prompts or file uploads

13. Account Suspension and Termination

• We reserve the right to suspend, restrict, or permanently terminate your account at any time, with or without notice, for any violation of these Terms, fraudulent activity, abuse of the Platform, or for any other reason we deem appropriate in our sole discretion.
• Upon termination, your right to access the Platform ceases immediately. Users whose accounts are terminated for cause are not entitled to any refund or compensation for unused lifetime entitlement.
• You may terminate your account at any time by contacting us at contact@helpersuits.com.
• We may delete your account data, including Pro output history and pipeline data, upon termination or after a period of inactivity.

14. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to our Privacy Policy.

15. Modifications to the Platform and Terms

• We reserve the right to modify, suspend, or discontinue any feature, tool, or aspect of the Platform at any time without liability to you.
• We may update these Terms at any time. The "Last updated" date at the top reflects the most current version. Material changes will be communicated via email or a prominent notice on the Platform.
• Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the updated Terms.

16. Force Majeure

HelperSuits shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, internet outages, power failures, or third-party service failures (including Groq, Clerk, Supabase, Cloudflare, LemonSqueezy, or Razorpay).

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HelperSuits with respect to the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.

19. Governing Law and Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
• Any dispute shall first be attempted to be resolved amicably through good-faith negotiation within 30 days of written notice.
• If unresolved, it shall be subject to the exclusive jurisdiction of the competent courts located in Pune, Maharashtra, India.
• Nothing in this clause prevents HelperSuits from seeking emergency injunctive or equitable relief in any jurisdiction to protect its intellectual property.
